2. Scope of Application

These General Terms and Conditions of Sale (GTCS) apply to all services provided by SBS to professional clients.

Any order implies full and unconditional acceptance of these GTCS.

3. Orders

Each service is subject to a written quotation specifying the nature of the services and their price.

The order shall be deemed final and binding upon receipt of the quotation signed by the CLIENT, together with the required deposit.

4. Prices

Prices are expressed in euros and stated in the quotation. They are fixed for the duration of the quotation's validity.

Any service not initially included shall be subject to an additional quotation accepted by the CLIENT.

5. Payment Terms

Unless otherwise stated in the quotation:

• a 70% deposit is required upon order confirmation,
• the balance is payable according to the terms specified in the quotation.

Any late payment shall automatically result in late payment penalties as well as a fixed compensation of €40 for recovery costs, in accordance with Article L441-10 of the French Commercial Code.

6. Cancellation

In the event of cancellation of the order by the CLIENT, the cancellation terms set out in the quotation and in the full General Terms and Conditions of Sale shall apply.

7. Liability

SBS is bound by a best-efforts obligation.

SBS's liability is limited to the amount actually received for the service concerned.

8. Force Majeure

SBS shall not be held liable in the event of force majeure as defined by French case law.

9. Personal Data

Personal data collected are processed in accordance with the General Data Protection Regulation (GDPR).

10. Governing Law – Disputes

These GTCS are governed by French law.

Any dispute shall fall under the exclusive jurisdiction of the courts having jurisdiction over the registered office of SBS.

11. Full GTCS

The full General Terms and Conditions of Sale are provided to the CLIENT with each quotation and shall prevail over these website GTCS.
